MINUTES OF A MEETING OF THE DIRECTORS OF FBHVC LTD HELD AT CHIEVELEY, NEWBURY, ON SUNDAY 27 NOVEMBER 2005

1. Apologies for absence were received from Lord Montagu of Beaulieu, John Billard, Colin Francis and David Marsh.

2. The minutes of the meeting of 9 September 2005 were approved unanimously and signed by the Chairman.

3. Andrew Burt said he was willing to remain Chairman for the time being, but warned that family health problems may mean he would not be available for re-appointment after the AGM in 2006. Jacqueline Bickerstaff proposed that Andrew Burt should be re-appointed to the office of Chairman. This was seconded by Sandy Hamilton and agreed by all.

Julian Ghosh said he was willing to continue as Vice Chairman. David Hurley proposed that Julian Ghosh should be re-appointed to the office of Vice Chairman. This was seconded by Rosy Pugh and agreed by all.

4. The Company Secretary said he had sent copies of a letter from Haines Watts, the auditors, drawing Directors’ attention to a potential loophole in the control of expenditure to all present. It was agreed that henceforward anyone signing a cheque on behalf of the Federation should also initial the invoice or claim against which the payment was being made to demonstrate that they had understood and approved the purpose of the payment. The Company Secretary was instructed to report this decision to the auditors.

5. The Company Secretary reported that it had proved impossible to give effect to the decision of the meeting of 21 November 2004 to change the bank accounts from Barclays to Alliance and Leicester due to running out of time following the loss of documents in the post. The meeting agreed that the bank accounts should remain with Barclays, and that the signatories to the account should be any two of the Chairman, Vice Chairman, Michael Edwards, Michael Young and the Company Secretary. It was agreed that a new mandate agreeing to Barclays’ standard terms and conditions should be signed and submitted.
